 These Terms of Service ("Terms") govern your access to and use of the Helix social media intelligence platform at helixintel.ai (the "Service"), operated by Helix Intel AI, LLC ("Helix," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Helix is a software-as-a-service platform that connects to social media accounts you own or are authorized to manage, analyzes content to produce intelligence and insights, and helps you create and publish content to those accounts.

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.

You are responsible for the accuracy of your registration information, for safeguarding your login credentials, and for all activity under your account. Notify us promptly at kevin@ethx-ai.com of any unauthorized use.

The Service requires you to connect third-party social media accounts. You represent and agree that:

• you own or are duly authorized to manage each account you connect;
• your use of the Service complies with the terms, policies, and API rules of each connected platform (including LinkedIn, X, Meta/Facebook/Instagram, and Threads);
• you are responsible for the content you create, schedule, or publish through the Service, including content generated with AI assistance that you approve;
• you will not use the Service to publish unlawful, infringing, deceptive, harassing, or platform-prohibited content, or to engage in spam or automated abuse.

You grant Helix a limited license to access, process, and publish your content solely to provide the Service to you. As between you and Helix, you retain ownership of your content.

The Service uses artificial intelligence to analyze content and generate drafts and suggestions. AI output may contain errors and is provided as a starting point. You are responsible for reviewing content before it is published and for ensuring it is accurate, lawful, and appropriate for your audience and each platform.

Paid plans are billed on a recurring basis through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel. Introductory or promotional terms, if any, are described at sign-up and on our pricing page.

• Cancellation takes effect at the end of your current billing period; you retain access through that period.
• Except where required by law or expressly stated, payments are non-refundable for partial periods.
• We may change pricing prospectively with notice; changes do not affect the period already paid.
• We may suspend access for non-payment or for violation of these Terms. Suspension is reversible; you may restore access by resolving the underlying issue.

The Service depends on third-party platforms and their APIs, which are outside our control. Those platforms may change, limit, price, suspend, or discontinue their APIs or your access at any time. We are not responsible for third-party platform availability, changes, fees, or actions, and such events are not a breach of these Terms by us.

You will not: (a) reverse engineer, resell, or circumvent the Service or its security; (b) access it by any means other than our provided interfaces; (c) interfere with its operation or overload our systems; (d) use it to violate any law or third-party right; or (e) misrepresent your authorization to manage a connected account.

The Service, including its software, design, and content (excluding your content), is owned by Helix and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. We may use aggregated, de-identified data to operate and improve the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI output or analytics will be accurate or achieve any particular result.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You will indemnify and hold harmless Helix from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including any connected platform's terms.

You may stop using the Service and close your account at any time. We may suspend or terminate your access for violation of these Terms, for non-payment, or as required by law. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 9–12 and 14) survive.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Galveston County, Texas, for any dispute not subject to another agreed dispute-resolution process.

We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
